COMPOST ACADEMY AFFILIATE AGREEMENT

This Affiliate Agreement (the “Agreement”) sets out the terms and conditions under which Compost Academy, LLC., an Oregon LLC with its principal place of business in Newport, Oregon ("Compost Academy," "we," "our," or "us"), allows you ("Affiliate," "you," or "your") to promote our products and services and earn commissions.

Please read carefully. By enrolling in the Program or generating an Affiliate Share Link or Coupon Code, you acknowledge that you have read, understood, and agreed to be bound by this Agreement.

1. Definitions

Term

Meaning

“Program”

The Compost Academy Affiliate Program described in this Agreement.

“Offer”

Any product, course, membership, or other service we make available for sale through Kajabi.

“Qualifying Sale”

A completed, non‑fraudulent purchase of an Offer made by an End‑User that is correctly attributed to you under §3.

“Commission”

The percentage or flat‑fee we pay you for each Qualifying Sale.

“Dashboard”

The online affiliate portal provided by Kajabi where you access Share Links, Coupon Codes, and performance reports.

“End‑User”

The final purchaser of an Offer referred by you.

2. Program Enrollment

  1. Application. You must complete our online sign‑up form truthfully and in full. We may request additional information to verify identity and payment details.
  2. Acceptance. Enrollment is at our sole discretion. We may reject any application for any reason, including sites or channels that we deem unfit (e.g., containing hate speech, pornography, or illegal content).
  3. Account Security. You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account.

3. Tracking & Attribution

  1. Share Links. Kajabi assigns you a unique URL containing your Affiliate ID. When an End‑User clicks the link, a first‑party cookie (currently 90 days) is set. The first Affiliate whose cookie is present at checkout receives credit.
  2. Coupon Codes. We may assign you one or more unique coupon codes. A valid code entered at checkout overrides any existing cookies and attributes the sale to you.
  3. Last Word. We are the sole arbiter of tracking methodology and may adjust attribution rules to maintain Program integrity.

4. Commission Structure

  1. Rate. Unless otherwise agreed in writing, you will earn 25% of the gross amount (excluding taxes, shipping, and discounts) on each Qualifying Sale of a one‑time product and 25% of each recurring payment on subscription Offers.
  2. Returns & Chargebacks. If a Qualifying Sale is refunded, voided, or charged back within 30 days of purchase, the corresponding Commission will be reversed.
  3. Fraud & Abuse. We reserve the right to withhold or reverse Commissions that result from fraudulent, duplicate, or suspect transactions.
  4. Negative Balance. Reversals may create a negative balance; future earnings will first offset the negative amount.

5. Payouts

  1. Schedule. Commissions are paid monthly, Net 60 following the end of each calendar month, provided your payable balance meets the Minimum Payout Threshold.
  2. Method. Payments are issued via PayPal MassPay to the PayPal email address you list in your Dashboard. You are solely responsible for maintaining accurate payout details.
  3. Threshold. The current Minimum Payout Threshold is USD $25.00. Balances below this amount roll forward.
  4. Taxes & Forms. U.S. residents earning $600 USD or more in a calendar year must submit an IRS Form W‑9; non‑U.S. residents must submit an IRS Form W‑8BEN. We will issue Form 1099‑NEC where required.

6. Affiliate Obligations

  1. Compliance with Laws. You will comply with all applicable laws, regulations, and industry guidelines, including the U.S. Federal Trade Commission (FTC) Endorsement Guides (16 C.F.R. §255) and CAN‑SPAM Act.
  2. Disclosure. Every public promotion must contain a clear and conspicuous disclosure such as “As an affiliate, I may earn a commission on qualifying purchases.”
  3. Prohibited Activities. You may not:
    • Use spam emails, bots, or unsolicited messages.
    • Mislead or deceive End‑Users about Compost Academy or our Offers.
    • Bid on our trademarks or domain names in search‑engine advertising.
    • Offer cash rebates, crypto incentives, or other compensation without prior written consent.
    • Post unlawful, defamatory, or offensive content.
  4. Brand Integrity. Use only approved logos and creative assets from our Affiliate Resources page. Do not modify marks without permission.

7. Intellectual Property

We grant you a non‑exclusive, non‑transferable, revocable license to use our trademarks and marketing materials solely for the purpose of promoting Offers under this Agreement. All rights not expressly granted are reserved.

8. Confidentiality

Any non‑public information we share (e.g., conversion data, planned launches, commission rates) is confidential. You may not disclose it to third parties without our prior written consent.

9. Data Protection

You will handle all personal data in accordance with applicable privacy laws (e.g., GDPR, CCPA) and only for the purpose of performing your obligations hereunder.

10. Term & Termination

  1. Term. This Agreement begins on the Effective Date and continues until terminated.
  2. Termination for Convenience. Either party may terminate this Agreement at any time, with or without cause, upon written notice (email sufficient).
  3. Effect of Termination. Upon termination you must immediately cease using our marks and disable all Share Links and Coupon Codes. Commissions accrued up to the termination date will be paid under §5, except in cases of fraud.

11. Disclaimer & Limitation of Liability

  1. The Program and our site are provided “as is” without warranty of any kind.
  2. To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, or consequential damages (including lost profits) arising from or in connection with this Agreement.
  3. Our aggregate liability shall not exceed the total Commissions paid to you in the six (6) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Compost Academy and its officers, directors, employees, and agents from any claims or liabilities arising out of your breach of this Agreement or misuse of the Program.

13. Independent Contractor

Nothing in this Agreement creates any partnership, joint venture, employment, or agency relationship. You act solely as an independent contractor.

14. Modification

We may modify this Agreement at any time by posting a revised version on our website or emailing you. Continued participation in the Program after a change constitutes acceptance.

15. Governing Law & Venue

This Agreement is governed by and construed in accordance with the laws of the State of Oregon, USA, without regard to its conflict‑of‑law rules. Any dispute shall be resolved in the state or federal courts located in Lincoln County, Oregon, and each party consents to personal jurisdiction therein.

16. Entire Agreement

This Agreement constitutes the entire agreement between you and us concerning the Program and supersedes all prior agreements or communications.
